WEGROO – Terms & Conditions

1. Introduction

Welcome to WEGROO L.L.C-FZ (“WEGROO”, “we”, “our”, or “us”).

WEGROO is a B2B wholesale marketplace platform that connects retailers, supermarkets, restaurants, and other business buyers with distributors, suppliers, and wholesalers across the United Arab Emirates.

By accessing or using the WEGROO mobile application, website, or services (collectively, the “Platform”), you agree to comply with and be bound by these Terms & Conditions.

If you do not agree with these Terms, please do not use the Platform.

2. Eligibility

To use WEGROO, you must:

• ✔ Be at least 18 years old
• ✔ Operate as a legally registered business or authorized commercial entity
• ✔ Provide accurate and complete registration information
• ✔ Maintain the confidentiality of your account credentials

WEGROO reserves the right to suspend or terminate accounts that provide false, misleading, or incomplete information.

3. Nature of the Platform

WEGROO operates as a technology-enabled marketplace platform that facilitates connections between buyers and suppliers.

Unless otherwise explicitly stated:

• ✔ WEGROO is not the manufacturer, owner, or direct seller of products listed by third-party suppliers
• ✔ Product availability, pricing, quality, and delivery are the responsibility of the respective supplier
• ✔ WEGROO may coordinate logistics, payments, and operational support as part of the marketplace services

WEGROO reserves the right to remove products, suppliers, or users from the Platform at its discretion.

4. Product Listings & Pricing

• ✔ Product prices are determined by suppliers and may change without prior notice
• ✔ Product images are for illustrative purposes only
• ✔ Availability depends on supplier inventory levels
• ✔ Minimum order quantities may apply
• ✔ Orders are subject to supplier confirmation and stock availability

WEGROO does not guarantee uninterrupted product availability.

5. Orders & Acceptance

An order submitted through the Platform constitutes a purchase request.

Orders become confirmed only after:

• ✔ Supplier acceptance
• ✔ Payment confirmation (where applicable)
• ✔ Operational verification by WEGROO

WEGROO reserves the right to reject or cancel any order for operational, commercial, pricing, fraud, or inventory-related reasons.

6. Payments

Payments may be processed through approved payment channels integrated into the Platform.

Users agree that:

• ✔ All payment information provided is accurate
• ✔ Applicable VAT and government charges may apply
• ✔ Delayed or failed payments may result in suspension of services

WEGROO may deduct marketplace commissions, logistics charges, or service fees before settlement with suppliers where applicable.

7. Delivery & Logistics

Delivery timelines are estimates only and may vary depending on:

• ✔ Supplier readiness
• ✔ Inventory availability
• ✔ Traffic and logistics conditions
• ✔ External operational factors

Risk and responsibility for products may transfer according to the agreed logistics arrangement between parties.

Users must inspect deliveries upon receipt and report issues within the specified claim period.

8. Returns, Damages & Claims

Any claim related to:

• ✔ Damaged products
• ✔ Missing quantities
• ✔ Incorrect items
• ✔ Delivery discrepancies

must be reported through the Platform within 24 hours of delivery unless otherwise stated.

WEGROO reserves the right to investigate and coordinate resolutions with suppliers and logistics providers.

Refunds, replacements, or credits remain subject to supplier approval and internal review.

9. Savings & Price Comparison Disclaimer

WEGROO may display estimated savings, pricing comparisons, or procurement insights based on supplier pricing available on the Platform.

Such calculations:

• ✔ Are estimates only
• ✔ Are provided for informational purposes
• ✔ Do not misuse WEGROO branding

Actual savings may vary depending on order quantities, supplier availability, taxes, and market conditions.

10. User Conduct

Users agree not to:

• ✔ Submit fraudulent orders
• ✔ Misuse pricing or supplier information
• ✔ Attempt to bypass or circumvent the Platform
• ✔ Interfere with Platform operations
• ✔ Upload harmful or unlawful content

WEGROO reserves the right to suspend or permanently terminate accounts violating these rules.

11. Intellectual Property

All Platform content including:

• ✔ Logos
• ✔ Branding
• ✔ Design
• ✔ Text
• ✔ Software
• ✔ Marketplace data

are the property of WEGROO or its licensors and may not be copied, reproduced, or distributed without prior written permission.

12. Limitation of Liability

To the maximum extent permitted by law:

• ✔ WEGROO shall not be liable for indirect, incidental, or consequential damages
• ✔ WEGROO does not guarantee uninterrupted Platform availability
• ✔ Suppliers remain responsible for product quality, compliance, and accuracy

Users acknowledge that marketplace transactions involve operational and commercial risks beyond WEGROO’s direct control.

13. Suspension & Termination

WEGROO may suspend, restrict, or terminate access to the Platform at any time without prior notice if:

• ✔ These Terms are violated/li>
• ✔ Fraudulent activity is suspected
• ✔ Operational or legal risks arise

14. Privacy

Use of the Platform is also governed by the WEGROO Privacy Policy.

By using the Platform, users consent to the collection and processing of business and operational data required for marketplace functionality.

15. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Any disputes arising from the use of the Platform shall be subject to the jurisdiction of the courts of Dubai, UAE.
